These Terms of Service ('Terms') govern your access to and use of OpenCentric, including the website, workspace, profiles, Catalog, Fabric automations, APIs, storage, hosting, and all related services ('Services'). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
'OpenCentric', 'we', 'us', or 'our' refers to OpenCentric, Inc., a Delaware corporation.
'User', 'you', or 'your' refers to any individual or entity accessing the Services.
'Workspace' means the operating environment where you configure sections such as Dashboard, My Workspace, My Profile, Coworker, CRM, Ledger, Data, Fabric, API & Integrations, Storage, Hosting, Catalog, and related tools.
'Profile' means the personal profile and business page you create for identity, discovery, Community participation, and Catalog activity.
'Catalog Listing' means a product, service, subscription, booking, template, job, or business offering published through OpenCentric.
'Fabric Workflow' means an automation, trigger, schedule, webhook, approval, integration, or orchestration run configured through OpenCentric.
'Transaction' means any completed exchange of services, products, or funds facilitated through the platform.
You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or your organisation. By using the Services, you represent that you meet these requirements.
You must register for an account to access most platform features. You are responsible for maintaining the security of your account credentials.
You agree to provide accurate, current, and complete information during registration and to update it as necessary. OpenCentric is not liable for losses caused by unauthorised access resulting from your failure to protect your credentials.
Creating a baseline workspace is free. Paid plans, add-ons, storage tiers, Coworker capacity, Fabric automation limits, hosting, managed operations, Studio engagements, and enterprise services may be billed separately.
OpenCentric charges a platform fee of 5% on Catalog transactions, Apollo campaign contributions, and other completed Transactions generated through the platform unless a written agreement states otherwise.
Cloud provider charges, domain registration, payment processor fees, taxes, and third-party service charges are separate from OpenCentric fees unless a written managed-services agreement explicitly includes them.
Subscription and usage fees are charged through Stripe or another approved processor. Fees are non-refundable except as required by law or stated in a separate written agreement.
You may not use the Services to engage in fraud, money laundering, or any illegal activity.
You may not circumvent the platform fee by conducting transactions off-platform with parties you were introduced to through OpenCentric. See our Anti-Circumvention Policy for details.
You may not use Fabric, APIs, webhooks, storage, hosting, or integrations to transmit malware, spam, abusive traffic, unauthorized data collection, crypto mining, credential harvesting, or runaway automation.
You may not misrepresent your business, products, services, compliance posture, credentials, transaction history, or ownership of content you publish.
The Services and all content produced by OpenCentric are owned by or licensed to OpenCentric. You retain ownership of content you upload, including workspace content, profile content, media, listings, files, and workflow definitions. You grant OpenCentric a non-exclusive license to host, process, display, transmit, and use that content as needed to operate, secure, support, and improve the Services.
THE SERVICES ARE PROVIDED 'AS IS' WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OPENCENTRIC SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF YOUR USE OF THE SERVICES.
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes shall be resolved by binding arbitration in accordance with AAA rules, except that either party may seek injunctive relief in court.
We may update these Terms from time to time. We will notify you of material changes via email or in-platform notification at least 30 days before they take effect. Continued use of the Services after changes take effect constitutes acceptance.
These product-aligned statements describe OpenCentric's current intended practices. They should be reviewed with counsel before relying on them as final legal terms for a production launch.
