Anti-Circumvention Policy

Last updated: May 1, 2026

OpenCentric's business model is based on a 5% platform fee charged only when transactions are completed through the platform. This policy explains what constitutes circumvention, why it matters, and the consequences of violating it.

1. What is circumvention?

Circumvention means completing or initiating a transaction, engagement, or business relationship — including payment, delivery of services, or transfer of goods — outside the OpenCentric platform with a party that you were introduced to or identified through OpenCentric.

This applies regardless of whether the off-platform transaction is conducted immediately after the introduction or at any time within 24 months following the initial introduction.

2. Why this policy exists

OpenCentric invests in Venture Profile infrastructure, AI matching, contract tooling, and payment facilitation. The 5% platform fee funds these services. Circumvention undermines the aligned incentives that make the platform work for everyone — particularly buyers who rely on the platform's trust signals and compliance infrastructure.

3. Permitted activities

You may discuss the scope of a potential engagement through any channel after an introduction is made.

You may decline a match introduction and choose not to proceed.

You may use OpenCentric-generated contracts outside the platform if you have an Enterprise plan that includes white-label contract rights.

4. Detection

OpenCentric monitors for circumvention through self-reporting, third-party signals, and contractual audit rights included in our Terms of Service. We take reports from either party seriously.

5. Consequences

If we determine that circumvention has occurred, we may charge the full platform fee based on the estimated or actual transaction value, suspend or terminate your account, and pursue legal remedies.

Both the buyer and the seller are responsible for ensuring transactions flow through the platform. Ignorance of this policy is not a defence.

6. Reporting circumvention

If you believe a counterparty has circumvented the platform, please contact us at legal@opencentric.ai with details. We will investigate and respond within five business days.
